1. About these terms

These Terms & Conditions ("Terms") govern your use of the PayNovaX platform, which lets you deposit supported cryptocurrency, hold a balance in your account, and fund a virtual payment card you can spend online. By creating an account you agree to be bound by these Terms.

PayNovaX operates the platform and the account you sign in to. PayNovaX is not a bank and does not issue payment cards. Cards made available through the platform are issued by a licensed financial institution under its own regulatory permissions and its arrangements with the relevant card network, and your use of a card is additionally subject to that institution's terms.

2. Eligibility

You must be at least 18 years old and legally capable of entering a binding agreement. You must use the platform on your own behalf and not for anyone else unless we have agreed otherwise in writing.

You may not use the platform if you are subject to sanctions, or if you are located in or a resident of a country where we or the issuing institution cannot lawfully provide the service. Eligibility can change if the issuing institution changes the countries it supports, and we may be required to restrict or close accounts as a result.

3. Your account

You register with an email address and confirm it with a one-time code. You agree to give accurate information and to keep it up to date.

You are responsible for your credentials and for activity under your account. Some sign-ins and sensitive actions require an additional one-time code, by email or from an authenticator app. We recommend using an authenticator app. Tell us promptly at legal@paynovax.io if you believe someone else has accessed your account.

4. Identity verification

You can open an account and explore the platform after confirming your email. Where the card program requires it, you will need to complete identity verification before a card can be issued or used, and you agree to provide the documentation requested.

We and our partners may carry out identity, sanctions and anti-money laundering checks on an ongoing basis, and may request further information at any time. We may suspend access to some or all of the services while checks are outstanding, or where we are required to do so.

5. Crypto deposits

You may deposit only the assets and networks shown in your account wallets. Each deposit address accepts one asset on one network. Sending a different asset, or the right asset over a different network, will generally result in permanent loss, and neither PayNovaX nor anyone else can recover it. The supported tokens page sets out the current pairings, and the wallets screen in your account is the authoritative list.

Deposits are credited once the relevant network confirms the transaction. Confirmation times depend on the network and are outside our control. Blockchain transactions are irreversible and cannot be recalled once broadcast.

PayNovaX is not a self-custody wallet. Assets you deposit are credited as a balance within your account rather than to a wallet whose private keys you hold.

6. Cards

Cards are virtual and are made available through your account. Subject to eligibility and verification, you can request a card, move funds from your account balance onto it, unload the balance back to your account, and freeze or unfreeze it. Freezing prevents further spending and does not affect the balance on the card.

Whether a particular payment succeeds is determined by the merchant, the card network and the issuing institution, not by PayNovaX. We cannot guarantee that a card will be accepted by any specific merchant or for any specific type of purchase.

Where a transaction is in a currency other than the currency of your card balance, conversion is carried out by the issuing institution at its own rate. PayNovaX does not apply a margin on top of that rate.

7. Fees

PayNovaX charges 2% when you deposit crypto into your account, applied to the amount deposited. Moving that balance onto a card does not carry a further PayNovaX percentage, so the deposit fee is charged once on the way in rather than again on each top-up.

Issuing a card carries a one-off charge of US$50, which is deducted when the card is issued. The amount shown to you at the point of request applies to that request.

Currency conversion on spending is performed by the issuing institution at its rate, without a PayNovaX markup. Network or gas costs incurred when you send crypto to us, or when you withdraw, are charged by the relevant blockchain and are not set by PayNovaX.

The current schedule is published on our fees page. We may change fees, and will give notice of changes in line with the section on changes to these Terms below.

8. Acceptable use

You must not use the platform or a card for anything unlawful, or to facilitate fraud, money laundering, terrorist financing or sanctions evasion. You must not attempt to gain unauthorised access to the platform, interfere with its operation, or use it in breach of card network rules or the issuing institution's terms.

You must not use another person's identity or payment credentials, or make a card available to someone else to use as their own.

9. Suspension and closure

We may suspend or restrict your account, or freeze or cancel a card, where we reasonably believe there is a risk of fraud or unlawful use, where required by a partner, the card network or applicable law, or where you have materially breached these Terms.

You may close your account at any time. Where your account is closed, we will return any remaining balance to you subject to any checks we are required to complete and any amounts you owe.

10. Availability and changes

We aim to keep the platform available but do not guarantee uninterrupted access. Services may be unavailable during maintenance, or because of failures at a partner, network or blockchain outside our control. We may add, change or withdraw features, including the assets and networks we support.

11. Liability

Nothing in these Terms excludes liability that cannot lawfully be excluded. Subject to that, we are not responsible for losses arising from your own failure to keep your credentials secure, from crypto sent to an unsupported asset or network, from irreversible blockchain transactions, or from a merchant, card network or issuing institution declining or reversing a payment.

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice. Continued use after a change takes effect constitutes acceptance of the updated Terms.
